These Terms of Service (“Terms”) govern your access to and use of CardFlipz.io and related services (the “Services”). The Services are operated by Ethereal Springs LLC, doing business as CardFlipz (“CardFlipz,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using CardFlipz, you represent and warrant that you meet these requirements.

2. Nature of the Services

CardFlipz operates a platform that allows users to sell gift cards and receive payment through supported payout methods.

Important disclosures:

  • CardFlipz is not a bank, not a money transmitter, and not a gift card issuer.
  • All transactions are subject to review, verification, and risk controls.

3. Account Registration and Security

To access certain features, you must create an account. Your account is personal to you and you agree not to provide any other person with access to the Services using your username, password, or other security information. You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of your login credentials

  • Notify us immediately of any unauthorized access

You are responsible for all activity occurring under your account.

CardFlipz has the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

4. Identity Verification (KYC)

To protect the platform and comply with fraud-prevention and financial-crime controls, CardFlipz may require identity verification, including verification through third-party providers such as Veriff.

You agree that:

  • Failure to complete verification may result in delayed, suspended, or denied transactions

  • CardFlipz may restrict or terminate access based on verification results or risk signals

5. Gift Card Submissions and Risk Allocation

By submitting a gift card, you represent and warrant that:

  • You are the lawful owner of the gift card

  • The gift card was obtained legally

  • The balance and details provided are accurate

  • The card has not been reported lost, stolen, refunded, or previously redeemed

All gift cards are subject to verification.

CardFlipz may:

  • Reject any gift card for any reason

  • Adjust or reverse payouts if a card is later found invalid, partially redeemed, fraudulent, or disputed

  • Offset amounts owed against future transactions

All sales are final once approved, except as required by law.

6. Payments and ACH Authorization

If you receive payment via ACH, you authorize CardFlipz and its payment partners to initiate electronic credits and debits to your designated bank account.

You acknowledge that:

  • Payout timing is not guaranteed

  • ACH authorizations may be revoked by contacting us, subject to processing timelines and legal requirements

  • CardFlipz may delay or withhold payouts for compliance, fraud, or dispute review

7. Prohibited Conduct

You may not use the Services to:

  • Submit fraudulent, stolen, or unauthorized gift cards

  • Misrepresent gift card balances or ownership

  • Circumvent security or verification measures

  • Violate any applicable law or regulation

  • Engage in abusive, deceptive, or harmful conduct

Violation may result in suspension, termination, forfeiture of funds, and/or referral to law enforcement.

8. Intellectual Property

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CardFlipz, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website without prior written permission. You must not access or use for any commercial purposes any part of the Website or any services or materials available through the Website. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of these Terms, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by CardFlipz.

No rights are granted except as expressly stated.

9. Third-Party Services

The Services may integrate or rely on third-party providers (including identity verification, payment processing, and analytics). CardFlipz is not responsible for third-party services or their actions.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOU UNDERSTAND THAT WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT FILES AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR THE SERVICES WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. TO THE FULLEST EXTENT PROVIDED BY LAW, CARDFLIPZ WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES. NEITHER CARDFLIPZ NOR ANY PERSON ASSOCIATED WITH CARDFLIPZ MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. TO THE FULLEST EXTENT PROVIDED BY LAW, CARDFLIPZ DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

To the maximum extent permitted by law, CardFlipz disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted, secure, or error-free operation.

11. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, CARDFLIPZ, ITS AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS SHALL NOT BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF DATA, OR LOSS OF GOODWILL, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE LIMITATION OF LIABILITY SET OUT ABOVE DOES NOT APPLY TO LIABILITY RESULTING FROM CARDFLIPZ'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

CardFlipz’s total liability shall not exceed the amount paid to you by CardFlipz in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless CardFlipz, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your submission of unlawful or fraudulent gift cards

13. Suspension and Termination

CardFlipz may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the platform.

Provisions that by their nature should survive termination shall survive.

14. Dispute Resolution, Governing Law, and Miscellaneous

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in the State of Texas, although CardFlipz retains the right to bring any action against you for breach of these Terms in your country of residence or any other relevant jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, at CardFlipz's sole discretion, CardFlipz may require you to submit any disputes arising from these Terms or the Services to final and binding arbitration administered by JAMS, conducted in Texas, in English.

YOU WAIVE THE RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

Limitation on Time to File Claims. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

No waiver by CardFlipz of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CardFlipz to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference herein, constitute the sole and entire agreement between you and Ethereal Springs LLC (d/b/a CardFlipz) regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

15. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
